1. Scope and Umbrella Organization

"BasimDigital," "we," "us," and "our" refer to BasimDigital as the umbrella organization for BasimDigital Lab and related businesses, brands, products, platforms, ventures, and services. Related businesses may include current or future BasimDigital-operated platforms such as Memovara, DocPorta, NexaOS, Baritom/Boritom, TheVotingStation, PABSmartPrep, ProgramBook/PrintOps, cloud modernization work, and other affiliated offerings.

These Terms apply to basimdigital.com, public BasimDigital pages, project intake workflows, and other public digital properties that link to these Terms. Product-specific terms, client agreements, statements of work, data processing terms, business associate agreements, or subscription terms may add to or replace these Terms for a particular related business, platform, or engagement.

2. Website Use

You may use the public website for lawful business, informational, and project inquiry purposes. You may not interfere with site operation, attempt unauthorized access, scrape or harvest data without permission, upload malicious code, impersonate another person or organization, or use the site to violate law or third-party rights.

3. No Client Relationship From Website Use

Submitting a project intake form, sending an email, booking a call, or using this website does not create a client, advisory, fiduciary, agency, employment, partnership, or joint venture relationship. A client relationship begins only when BasimDigital and the client sign a written agreement or statement of work.

4. Project Intake, Proposals, and Related Businesses

Project intake submissions are reviewed for fit, scope, timing, risk, and operational requirements. BasimDigital may accept, decline, route, or request more information about an inquiry. If a project is better suited to a related BasimDigital business or platform, BasimDigital may identify that related business during the review process.

Related businesses may maintain specific pricing, service terms, support policies, account rules, acceptable use terms, privacy notices, and compliance obligations. Those specific terms control for that related business where they conflict with these general Terms.

5. Client Portals and Workspaces

Client portal access is intended only for verified and authorized users. You are responsible for keeping login links, passwords, devices, and account credentials secure. You may not access another organization's workspace or share confidential workspace content with unauthorized parties.

6. Intellectual Property

BasimDigital owns or licenses the website, brand elements, design system, copy, diagrams, software, templates, documentation, and other materials on the site, except for content owned by clients, partners, or third parties. You may not copy, modify, distribute, or reuse BasimDigital materials except as allowed by law or with written permission.

Ownership of project deliverables, client materials, source code, configurations, data, and work product is governed by the applicable signed agreement or product-specific terms.

7. User Content and Submitted Materials

If you submit project details, files, messages, feedback, or other materials, you represent that you have the right to provide them. You grant BasimDigital the right to use those materials as needed to review your inquiry, provide services, operate workspaces, troubleshoot issues, and fulfill an applicable agreement.

8. AI, Automation, and Technical Outputs

BasimDigital may use AI-assisted and automated workflows in research, drafting, analysis, software development, support, and operations. Technical recommendations, prototypes, diagrams, or generated materials are not legal, medical, financial, tax, or regulated professional advice unless a separate written agreement expressly says otherwise.

9. Third-Party Services

BasimDigital websites and projects may use third-party services such as hosting providers, analytics tools, communications providers, payment processors, cloud platforms, identity providers, AI providers, and integration partners. Third-party services are governed by their own terms and policies.

10. Communications

By contacting BasimDigital, submitting an inquiry, or creating an account, you authorize BasimDigital to communicate with you about your request, project, account, service, or related administrative matters. Marketing emails and SMS communications are subject to applicable consent and opt-out rules. SMS communications are governed by our SMS Compliance Terms.

11. Disclaimers

The website and public content are provided "as is" and "as available." BasimDigital does not warrant that the website will be uninterrupted, error-free, secure, or suitable for every purpose. Public content is general information and may not reflect the requirements of your organization, industry, jurisdiction, or use case.

12. Limitation of Liability

To the maximum extent permitted by law, BasimDigital and its related businesses, owners, team members, contractors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption arising from use of the website or public content.

Any liability related to paid services, subscriptions, products, platforms, or client work is governed by the applicable signed agreement or product-specific terms.

13. Indemnity

You agree to defend and hold BasimDigital harmless from claims, damages, liabilities, costs, and expenses arising from your unlawful use of the site, your submitted materials, your breach of these Terms, or your violation of another party's rights.

14. Governing Terms for Paid Work

For paid services or product subscriptions, the applicable order, statement of work, master services agreement, subscription agreement, data processing agreement, or related product terms control over these website Terms if there is a conflict.

15. Changes

We may update these Terms from time to time. The updated version will be posted at basimdigital.com/legal/terms with a revised effective date.
